Our client is seeking a senior associate with at least five years of experience to advise real estate fund sponsors and investors in Washington, D.C. The position offers a central role in fundraising, structuring, and managing real estate investment products, with responsibility for leading teams and working directly with clients.
The Work
- Advise sponsors and investors on the formation, structuring, and ongoing management of open-end and closed-end real estate funds.
- Lead teams through real estate fund fundraising processes, coordinating workstreams and helping move offerings toward closing.
- Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and documents for co-investment vehicles.
- Represent clients in transactions and negotiations involving real estate funds, co-investment vehicles, and related investment products.
- Coordinate with clients, investors, and service providers to facilitate fund closings and address issues as they arise.
- Prepare and review disclosure documents and investor communications, and support due diligence for real estate acquisitions and investments.
- Research and analyze securities-law, regulatory, and operational issues affecting funds and related real estate products.
- Work with tax, real estate, finance, and regulatory colleagues; supervise junior team members and help maintain client relationships.
What You Bring
- At least five years of legal experience, ideally gained at a global law firm, focused on real estate funds and related investment products.
- Substantial experience advising on open-end and closed-end real estate fund structures.
- Experience representing real estate fund sponsors and investors in legal, regulatory, and transactional matters.
- Experience with co-investment vehicles and other real estate investment products.
- Strong knowledge of real estate fund structures, securities laws, and relevant regulatory frameworks.
- Demonstrated ability to draft and negotiate complex fund documents, including offering materials, partnership agreements, and side letters.
- Juris Doctor from an accredited law school and admission to practice in Washington, D.C. Ability to manage multiple matters and deadlines, lead and mentor junior associates, and use AI technologies responsibly and ethically.

Compensation & Benefits
