Position overview

A confidential Chicago opportunity offers an experienced funds lawyer the chance to lead real estate fundraising work alongside partners and advise sponsors and investors across the life cycle of investment vehicles. The practice includes open-end and closed-end funds, co-investment structures, and related real estate products.

The Work

  • Advise real estate fund sponsors and investors on the formation, structuring, and ongoing management of open-end and closed-end funds.
  • Lead teams and fundraising workstreams, coordinating with clients, prospective investors, and service providers to move funds through closing.
  • Draft, review, and negotiate offering documents, partnership agreements, side letters, and documents for co-investment vehicles.
  • Analyze legal, securities, and regulatory requirements affecting real estate funds, co-investment vehicles, and related investment products.
  • Prepare and review disclosure documents and investor communications, and identify and resolve issues involving fund operations, management, and investor relations.
  • Support due diligence for real estate acquisitions and investments, collaborating with colleagues in tax, real estate, finance, and regulatory practices.
  • Supervise and mentor junior associates, contribute to existing client relationships, and use AI technologies responsibly in legal research and document review.

What You Bring

  • At least five years of legal experience focused on real estate funds, co-investment vehicles, and real estate investment products.
  • Experience advising on both open-end and closed-end fund structures and representing fund sponsors and investors.
  • Strong knowledge of real estate fund structures, securities laws, and regulatory frameworks affecting these products.
  • Demonstrated ability to draft and negotiate complex offering documents, partnership agreements, side letters, and related transaction documents.
  • Experience contributing to or leading fundraising processes and coordinating fund closings with clients, investors, and service providers.
  • Ability to manage multiple matters and deadlines with strong attention to detail and organization.
  • Interest and ability to lead and mentor junior associates and develop into a trusted client adviser.
  • Juris Doctor from an accredited law school and admission to practice in Illinois.

Compensation & Benefits

The supplied base compensation figure is an estimate of $365,000–$435,000 based on the 2026 Cravath scale, not firm-stated compensation.
