Position overview

Our client is seeking an experienced attorney to help lead fundraising and advise sponsors and investors across the lifecycle of real estate investment products. In this Boston-based role, you will work closely with partners, guide teams, and take substantial responsibility for sophisticated fund matters.

The Work

  • Advise real estate fund sponsors and investors on the formation, structuring, and ongoing management of open-end and closed-end funds.
  • Lead teams through fundraising processes, including preparing and negotiating offering documents, partnership agreements, side letters, and related investor materials.
  • Structure and document co-investment vehicles and other real estate investment products, and represent clients in related transactions and negotiations.
  • Coordinate with clients, investors, and service providers to advance fund closings and resolve issues that arise during the process.
  • Analyze legal and regulatory requirements affecting real estate funds, co-investment vehicles, and related products; monitor relevant changes in law and regulation.
  • Support due diligence for real estate acquisitions and investments, and address legal issues involving fund operations, management, and investor relations.
  • Collaborate with colleagues in tax, real estate, finance, and regulatory practices, while supervising junior team members and contributing to client relationships.
  • Use AI technologies responsibly and ethically to support legal research and document review.

What You Bring

  • At least five years of legal experience, including experience at a global law firm focused on real estate funds, co-investment vehicles, and real estate investment products.
  • A Juris Doctor degree from an accredited law school and current admission to practice in Massachusetts.
  • Substantial experience advising on open-end and closed-end real estate fund structures and their formation, structuring, and management.
  • Experience representing both real estate fund sponsors and investors in legal, regulatory, and transactional matters.
  • Strong knowledge of real estate fund structures, securities laws, and applicable regulatory frameworks.
  • Demonstrated ability to draft, review, and negotiate complex fund and investment documents.
  • Experience leading matters or teams, managing competing deadlines, and mentoring junior associates.
  • Sound judgment and attention to detail, including the ability to use AI tools responsibly and ethically; interest in developing trusted client-adviser relationships.

Compensation & Benefits

Compensation is estimated at $365,000–$435,000 based on the 2026 Cravath base scale; this is an estimate and is not firm-stated compensation.
