Our client is seeking a New York City associate with 2–4 years of relevant experience to advise on private investment funds from formation through ongoing operations, restructurings, secondary transactions, and wind-downs. The work spans multiple strategies and brings associates into close collaboration with partners, clients, and colleagues across practice groups.
The Work
- Advise fund sponsors and institutional investors on the formation, structuring, and operation of private equity, hedge, credit, and venture capital funds, as well as other alternative investment vehicles.
- Draft and negotiate limited partnership agreements, subscription agreements, private placement memoranda, investor side letters, and advisory committee agreements.
- Counsel clients on fund governance, economic terms, fee structures, co-investments, carried interest mechanics, and related investor considerations.
- Analyze securities-law and regulatory matters, including Advisers Act and Investment Company Act requirements, registration and exemption issues, anti-money laundering obligations, and Form D and Form PF filings.
- Support fund restructurings, secondary transactions, continuation fund vehicles, and fund wind-downs, including diligence of investment documents, organizational materials, and service-provider agreements.
- Review fund marketing materials for compliance with advertising rules and assist with investor relations and the formation of management company and general partner entities.
- Coordinate with colleagues across practice groups, track developments in law and market practice, manage concurrent matters, and provide constructive guidance to junior associates.
What You Bring
- Juris Doctor from an accredited law school and admission to the applicable bar, or eligibility for prompt admission.
- At least two years of substantive private investment fund experience at a national or global law firm.
- Strong knowledge of securities laws and regulations, including the Securities Act, Exchange Act, Investment Advisers Act, and Investment Company Act.
- Demonstrated experience drafting and negotiating fund formation documents.
- Familiarity with fund economics, including management fees, carried interest, waterfall calculations, and investor reporting obligations.
- Excellent analytical, drafting, negotiation, written communication, and verbal communication skills, with the ability to offer practical solutions to legal and commercial issues.
- Ability to manage multiple time-sensitive matters independently and collaboratively, maintain close attention to detail, and build effective working relationships with clients and colleagues.
- Willingness to mentor junior associates and use AI tools responsibly and ethically, while exercising sound judgment about accuracy and confidentiality.

Compensation & Benefits
The estimated base salary range is $235,000–$310,000, based on the 2026 Cravath scale; this is an estimate rather than firm-stated compensation.
