Our client is seeking a Chicago-based attorney with 2–4 years of relevant experience to advise private investment fund sponsors and institutional investors. The work spans fund formation, regulatory considerations, and ongoing transactions across a range of strategies and asset classes.
The Work
- Advise on the formation, structuring, and operation of private equity, hedge, credit, venture capital, and other alternative investment funds.
- Draft and negotiate limited partnership agreements, subscription agreements, private placement memoranda, investor side letters, and advisory committee agreements.
- Counsel sponsors and institutional investors on governance, fund economics, fee structures, co-investments, and investor reporting obligations.
- Analyze securities-law requirements under the Investment Advisers Act and Investment Company Act, including registration and exemption questions, AML matters, and Form D and Form PF filings.
- Support fund restructurings, secondary transactions, continuation fund vehicles, and fund wind-downs, including review of investment, organizational, and service-provider documents.
- Review fund marketing materials for compliance with applicable advertising rules and advise on investor relations matters.
- Draft and negotiate management company and general partner formation documents, while coordinating with colleagues across practice groups.
- Monitor legal, regulatory, and market-practice developments and communicate their implications to clients and colleagues.
What You Bring
- Two to four years of substantive private investment fund experience at a national or global law firm.
- Juris Doctor degree from an accredited law school.
- Admission to the Illinois bar or eligibility for prompt admission.
- Strong knowledge of securities laws and regulations, including the Securities Act, Exchange Act, Investment Advisers Act, and Investment Company Act.
- Demonstrated ability to draft and negotiate fund formation documents and identify practical legal and commercial solutions.
- Familiarity with fund economics, including management fees, carried interest, waterfall calculations, and investor reporting.
- Clear written and verbal communication skills, including the ability to explain complex legal concepts to clients and colleagues.
- Ability to manage multiple time-sensitive matters independently and collaboratively, maintain close attention to detail, and mentor junior associates.
- Ability to use artificial intelligence tools responsibly and ethically, with sound judgment regarding accuracy and confidentiality.

Compensation & Benefits
Estimated base compensation is $235,000–$310,000 based on the 2026 Cravath base scale; this is an estimate and is not firm-stated compensation.
