Our client is seeking a Boston-based associate with 2–4 years of relevant experience to advise on private investment funds from formation through operation and wind-down. The practice covers a range of alternative strategies and combines sophisticated fund work with direct collaboration across legal teams and client relationships.
The Work
- Advise fund sponsors and institutional investors on the formation, structuring, and operation of private equity, hedge, credit, venture capital, and other alternative investment funds.
- Draft and negotiate limited partnership agreements, subscription agreements, private placement memoranda, investor side letters, and advisory committee agreements.
- Counsel clients on fund governance, economic terms, management fees, carried interest, co-investment arrangements, and investor reporting obligations.
- Analyze securities-law requirements, including registration and exemptions under the Investment Advisers Act and Investment Company Act, and assist with anti-money laundering matters and Form D and Form PF filings.
- Conduct due diligence on investment documents, organizational materials, and third-party service provider agreements.
- Support fund restructurings, secondary transactions, continuation fund vehicles, and fund wind-downs.
- Review fund marketing materials and advise on investor relations and compliance with applicable advertising rules.
- Prepare management company and general partner formation documents, coordinate with colleagues across practice areas, and help guide junior associates.
What You Bring
- At least two years of substantive legal experience handling private investment fund matters at a national or global law firm.
- Juris Doctor degree from an accredited law school.
- Admission to the Massachusetts bar or eligibility for prompt admission.
- Strong knowledge of securities laws and regulations, including the Securities Act, Exchange Act, Investment Advisers Act, and Investment Company Act.
- Demonstrated experience drafting and negotiating fund formation documents.
- Familiarity with fund economics, including management fee structures, carried interest, waterfall calculations, and investor reporting.
- Strong analytical, writing, negotiation, and communication skills, with the ability to explain complex legal issues and develop practical solutions.
- Ability to manage multiple time-sensitive matters independently and collaboratively, maintain attention to detail, and mentor junior associates.

Compensation & Benefits
The estimated base salary range is $235,000–$310,000, based on the 2026 Cravath base scale; this is an estimate rather than firm-stated compensation.
