Our client is seeking a New York City transactional attorney to advise sovereign wealth funds and other mega-investors on complex strategic investments across asset classes and global markets. The role combines substantial transaction-document work with deal structuring, governance, and collaboration across complementary legal disciplines.
The Work
- Draft, review, and negotiate transaction documents for investments across private equity, credit, real estate, venture capital, and infrastructure.
- Advise sovereign wealth funds and other major investors on secondary transactions, joint ventures, co-investments, fund investments, and other strategic opportunities.
- Support deal structuring, governance arrangements, and regulatory considerations for global transactions.
- Prepare and negotiate transaction agreements, limited partnership agreements, subscription documents, side letters, and related materials.
- Manage multiple concurrent transactions from term sheet through closing, maintaining responsibility for moving workstreams forward.
- Collaborate with transactional, tax, finance, and regulatory colleagues to develop integrated solutions for clients.
What You Bring
- Two to ten years of transactional or fund experience at a major law firm.
- Experience with private equity or fund formation transactions.
- Demonstrated ability to draft and negotiate complex investment and/or fund-related agreements.
- J.D. from an accredited law school and admission to practice in the relevant jurisdiction.
- Strong written and verbal communication skills, with close attention to detail.
- Ability to work independently and collaboratively in a team environment.
- Interest in using AI technology and other emerging legal tools to improve the quality and efficiency of legal work.

Compensation & Benefits
Estimated base compensation is $235,000–$435,000, based on the 2026 Cravath base scale; this is an estimate rather than firm-stated compensation.
