Position overview

Our client is seeking an associate to advise sovereign wealth funds and other large institutional investors on complex investments across global markets. The work spans multiple asset classes and offers involvement in transactions from initial structuring through closing.

The Work

  • Draft, review, and negotiate transaction documents for complex investments across private equity, credit, real estate, venture capital, and infrastructure.
  • Advise sovereign wealth funds and other large investors on deal structuring, governance arrangements, and regulatory considerations in global transactions.
  • Work on secondary transactions, joint ventures, co-investments, fund investments, and other strategic investment opportunities.
  • Prepare and negotiate transaction agreements, limited partnership agreements, subscription documents, side letters, and related materials.
  • Manage multiple concurrent transactions from term sheet through closing, coordinating workstreams and transaction documentation.
  • Collaborate with transactional, tax, finance, and regulatory colleagues to develop integrated solutions for clients.

What You Bring

  • Two to ten years of transactional or funds experience at a major law firm.
  • Experience with private equity or fund formation transactions.
  • Demonstrated ability to draft and negotiate complex investment and/or fund-related agreements.
  • J.D. from an accredited law school and admission to practice in the relevant jurisdiction.
  • Strong written and verbal communication skills and close attention to detail.
  • Ability to work independently and collaboratively in a team environment.
  • Interest in using AI technology and other emerging legal tools to improve the quality and efficiency of legal work.
