Our client is seeking an experienced associate to guide complex domestic and cross-border transactions through merger review. In this San Francisco role, you will take meaningful ownership of regulatory work and collaborate closely with clients, economists, and deal teams.
The Work
- Manage significant aspects of merger reviews for complex domestic and cross-border transactions, helping clients navigate the regulatory process from filing through agency review.
- Prepare and coordinate Hart-Scott-Rodino (HSR) filings and support Second Request responses, including organizing and overseeing document productions.
- Work on merger investigations and agency proceedings, coordinating strategy and information flow among clients, economists, and deal teams.
- Support merger-clearance matters involving U.S. review as well as proceedings before European and other international authorities, as relevant to the transaction.
- Communicate with clients and deal teams about review requirements, investigative steps, and the practical demands of obtaining regulatory clearance.
What You Bring
- At least four years of relevant legal experience, with substantial experience in merger control.
- Experience preparing and managing Hart-Scott-Rodino (HSR) filings.
- Experience handling Second Requests and related document productions.
- Experience with merger investigations and the antitrust review process for complex transactions.
- Ability to manage significant portions of regulatory reviews and coordinate effectively with clients, economists, and deal teams.
- Experience with cross-border merger reviews is relevant to the work.
